V řadě případů nemusí dostačovat úsilí, popř. ani majetek jednotlivé osoby k potřebnému účelu a je vhodné, aby se osoby sdružily k činnostem nebo věci, a to bez vzniku další osoby. To umožnuje uzavření smlouvy o společnosti. Smlouvou o tiché společnosti se pak tichý společník zavazuje k vkladu, kterým se bude podílet po celou dobu trvání společnosti na podnikání podnikatele, a podnikatel se zavazuje platit tichému společníkovi podíl na zisku. Uzavřením smlouvy o tiché společnosti nevznikne obchodní společnost, ani se tím tichý společník nestane podnikatelem, neprovádí se zápis do obchodního rejstříku; vznikne smluvní vztah mezi stranami smlouvy.

In many cases, efforts may not sufficient nor the property of an individual for the necessary purpose and it is advisable for the persons to associate themselves into activities or things without the formation of another person. This allows the conclusion of a company contract. The Treaty on the quiet company, silent partner undertakes to deposit, which will be involved throughout the duration of the company on business entrepreneurs, and the entrepreneur undertakes to pay a silent companion to share in the profit.The conslusion of the silent partnership agreement does not create a company, does not the silent partner become an entrepreneur, no entry in the Commercial Register; a contractual relations ship betwen the parties to the contract arises.
