Course objectives
The corporate governance system, which is often called "Corporate Governance" in Czech, is the way in which a company is managed and administered. Corporate Governance is like an art because it is always a creative process in which not only the rules must be understood and respected, but also various specific situations that occur. There are various interest groups whose interests must be respected. Whether they are managers, creditors, employees, suppliers, customers or representatives of state administration bodies. The aim of the system is to create the necessary harmony of economic and social interests as well as the harmony of individual and group interests. The Corporate Governance system must ensure complete compliance with the legislative framework and protect not only the company's assets, but also create and continuously care for the company's reputation. After completing the course, students will be able to clarify the issue of corporate governance, the role and role of shareholders, managers, employees and other interest or participation groups in the management of the company. Students will gain knowledge and be able to cooperate in the areas of capital management, employee management, customer management and territorial state administration bodies. The aim of the study will be to understand the financial and legal aspects of Corporate Governance and the rights and obligations of the bodies managing companies.
Learning outcomes
After completing all lectures, students will be able to define not only Corporate Management and Governance as such, but also individual sub-concepts. They will clearly understand the content, scope and importance of corporate governance. What else will students know? - they will understand the meaning and differences in management and specifically corporate work and management, between management and leadership; - they will be able to clearly differentiate between individual types of business companies, know the processes and rules for their foundation, termination of activity, all according to the new Act on Business Corporations; - they will understand the meaning and importance of "Corporate Social Responsibility" - CSR, dramatic development in recent years, future trends, creation and implementation of strategy. They will know examples of the best companies with the best CSR in the world; - based on the knowledge gained and familiarization with surveys, they will be able to propose improvements in a given area.
