- Course objectives
- The corporate governance system, which is often called "Corporate Governance" in Czech, is the way in which a company is managed and administered. Corporate Governance is like an art because it is always a creative process in which not only the rules must be understood and respected, but also various specific situations that occur. There are various interest groups whose interests must be respected. Whether they are managers, creditors, employees, suppliers, customers or representatives of state administration bodies. The aim of the system is to create the necessary harmony of economic and social interests as well as the harmony of individual and group interests. The Corporate Governance system must ensure complete compliance with the legislative framework and protect not only the company's assets, but also create and continuously care for the company's reputation. After completing the course, students will be able to clarify the issue of corporate governance, the role and role of shareholders, managers, employees and other interest or participation groups in the management of the company. Students will gain knowledge and be able to cooperate in the areas of capital management, employee management, customer management and territorial state administration bodies. The aim of the study will be to understand the financial and legal aspects of Corporate Governance and the rights and obligations of the bodies managing companies.
- Learning outcomes
- After successfully completing the course, the student will: • understand the principles of corporate governance and management and be able to explain their importance for the competitiveness and long-term stability of companies, • explain the role and interests of individual stakeholders and be able to identify conflicts of interest in the corporate environment, • analyze the most common problems of Czech companies in the area of corporate governance and propose possible solutions, • evaluate the impacts of megatrends and social challenges (digitalization, artificial intelligence, climate change, geopolitical risks) on corporate governance, • characterize sustainability strategies and ESG reporting and apply them when designing a corporate strategy, • apply the basic principles of risk management and compliance systems when designing internal processes, • explain mergers and acquisitions processes and assess their impacts on the functioning of the company, • evaluate and assess promising business ideas in terms of innovation potential and strategic suitability, • analyze the role of human resources in corporate governance, including diversity, ethics and the system remuneration, • characterize and evaluate the possibilities of using digital finance, blockchain and cryptocurrencies in corporate business, • demonstrate the ability to formulate and defend their own recommendations for solving corporate governance and management problems through case studies from Czech practice.

- • Basics of corporate governance (definition, principles, CG models in the world and in the Czech Republic, OECD principles 2023) • Interest groups and stakeholder management (shareholders, employees, customers, state, community; conflict of interest) • The most common problems in Czech companies I (ownership concentration, family businesses, weak control, conflict of interest) • The most common problems in Czech companies II (non-transparency, corruption, insufficient compliance system) • Megatrends and major societal challenges I (digitalization, artificial intelligence, cybersecurity) • Megatrends and major societal challenges II (climate change, geopolitical risks, deglobalization, demographic changes) • Sustainability strategies and ESG reporting (mandatory EU standards, greenwashing, integration into corporate strategy) • Risk management and compliance systems (enterprise risk management, COSO framework, role of supervisory boards) • Mergers and acquisitions (M&A) and corporate restructuring (motivation, processes, post-merger integration, examples from the Czech Republic) • Evaluation and implementation of new business ideas (venture capital, corporate venture capital, startups, open innovation) • Human resources and corporate governance (role of the board in talent management, diversity, ethics, management compensation) • Digital finance and cryptocurrencies in business (cryptocurrencies, blockchain, asset tokenization, CBDC, use in corporate processes)

- Teaching methods
- The teaching will take the form of lectures that will provide students with a systematic theoretical basis in the field of corporate governance, in connection with current European and global trends (OECD Principles 2023, ESG reporting, digitalization, compliance systems). Emphasis will be placed on connecting theoretical foundations with practice, and therefore the lectures will be supplemented with discussions on specific examples from the Czech environment and international practice. Case studies of major Czech corporations will be used to illustrate individual topics: • ČEZ, a.s. as an example of a state-owned company that addresses energy transformation, ESG reporting and the influence of the state as a shareholder, • PPF Group as an example of an internationally diversified holding, where issues of succession and governance of a family business can be monitored, • Agrofert for a discussion of transparency, compliance and conflict of interest, • Škoda Auto in the context of managing a global corporation and strategic changes in connection with electromobility, • Avast/Gen Digital for an analysis of mergers and acquisitions in the technology sector, • Seznam.cz as an example of a founding company competing with global digital giants, • Colt CZ Group for M&A and reputation risk management, • Česká spořitelna as a representative of the banking sector and governance within an international group, • Pilulka Lékárny for an analysis of corporate governance in a young publicly traded company and digital transformation, • Třinecké železárny as a traditional industrial company with a strong regional impact and a family ownership structure. Lectures will be complemented by interactive discussions and exercises in which students will solve practical problems of companies through the analysis of real cases, simulations of decision-making processes and team projects. These activities will allow students not only to understand the theoretical foundations, but also to apply them to the current practice of Czech corporations and to take their own position on issues of ethics, risks or strategic direction of companies.

- The course is concluded with a credit. A list of topics intended for knowledge verification will be made available to all students before the end of the semester.
