Course objectives
Corporate Governance is the system by which companies are directed and controlled. Governance is an art, because it is a creative process, during which is necessary to understand not only basic principles of Corporate Governance but also to have ability to analyse specific situations. There are also some specifics and differences of the interests of subjects of company governance: Managers, creditors, employees, company partners, customers, and local government. The aim will be the need to balance the economic and social goals and goals of individuals and society as a whole. The Corporate Governance framework is here to promote the efficient use of resources and also to require accountability for their management to reconcile the onterest of individuals, corporation and sociaty. It will appeal to legislation that protects the interest and assests of copmanies as well as their reputation. After completing this course, students will be able to understand all funancial and legal aspects of Corporate Governance and all rights and responsibilities of all CG subjects.
Syllabus
  • 1. Different forms of business 2. Major models of Corporate Governance in different countries. Anglo-Saxon model - monistic model 3. Major models of corporate governance : German-Japanes - dualistic model 4. Principles of "best practice" and its basic recommendations - "Cadbury Report" 5. OECD principles of Corporate Governance, "best practice" recommendations 6. Failure of Corporate Governance system, colapse and auditing scandals of corporations as Enron, WorldCom, Tyco etc. 7. Legislative response on scandals around the world, new regulations, new recommendations and revision of old acts 8. Situation in USA - Sorbanes Oxly Act), UK situation, reaction of OECD 9. Corporate Governance in European Union, legislative framework 10. Reaction on OECD principles of good practice in Czech Republic, Code of Corporate Governance 11. Financial crisis organizations had to face in 2007 - 2008, reasons and cantry of origin, impact on Corporate Governance. Remuneration of boioard members, top executives and their training and development 12. Intellectual property and marketing from the point of view of legal protection of corporation.

Teaching methods
Attendance form of study – lectures and seminaries.Combined form of study – distant method of studies. In Attendance form of study 75% of attendance to seminaries is required, 50% in combined form. Those, who don’t fulfill the minimal attendance to the seminaries, might be subject to extra obligations during the semester in order to prove their knowledge of the subject.
Assessment methods
The course is concluded by credit. The list of topics designed to test knowledge will be made available to all students before the end of semester.
